Reporting Issuers

Reporting issuers, or those that trade securities in Newfoundland and Labrador, are required to regularly disclose their business activities by filing documents with the Superintendent of Securities.

Continuous disclosure involves:

  • keeping shareholders fully informed of the company’s affairs;
  • advising of significant changes on a timely basis;
  • making all required filings; and
  • paying fees.

The document helps investors to make informed decisions. In Canada, these documents are available free of charge through the Canadian Securities Administrators’ System for Electronic Document Analysis and Retrieval (SEDAR+).

NEW REPORTING ISSUER LIST

Effective June 14, 2021, the Superintendent of Securities of NL or staff will be posting a list of reporting issuers in the Province. The status of reporting issuers will be published weekly, free of charge. The list includes reporting issuers that are in good standing at the time the list is generated.

The NL Superintendent of Securities will no longer confirm the status of a reporting issuer if a certificate is not required.

REPORTING ISSUER CERTIFICATES

For a fee of $50, a reporting issuer certificate can be provided.
Submit requests to securitiesexemptions@gov.nl.ca.
Please allow 24 hours for the certificate to be issued.

Effective January 23, 2022 the Reporting Issuer Certificate fee can be paid through our online payment portal HERE. You may also pay by cheque.
